Terms of Service — Kapka Wina

These Terms of Service set out the rules for using kapkawina.pl and for placing and fulfilling orders by business customers (B2B). Sales through this website are intended for businesses only.

1. General provisions and definitions

The seller operating kapkawina.pl is the entity indicated in the Privacy Policy and on invoices — the company details (name, address, NIP tax ID, REGON) are shown in the website footer and in this document below.

The website is the online wholesale channel of the Kapka Wina wine shop chain, operating in Poland, the Czech Republic and Slovakia.

The following terms are used in these Terms of Service:

  • Website — the kapkawina.pl website together with its sub-pages;
  • Seller — the entity operating the Website and selling wines under these Terms ofService;
  • Customer — a business that has registered a B2B Account on the Website (a companyor anetwork point);Account — the Customer's individual account on the Website together with theircompany profile;
  • Order — an order placed by the Customer on the Website for a given transaction;
  • MOQ — the minimum net order value assigned to the Account;
  • Delivery — delivery of goods to the address indicated by the Customer.

2. Who may buy — B2B sales only

Only registered Customers with an active B2B Account may place Orders: companies (B2B customers) and Kapka Wina network points.

An Account is created through the registration form on the Website. Registration requires company details (name, address, NIP tax ID) and an e-mail address.

A B2B Account must be activated by the Seller. Until activation the Customer cannot see wholesale prices or place Orders; we usually notify the Customer within 1 business day of registration.

Sales through the Website are not directed at consumers. Individuals who do not run a business cannot place Orders, so the statutory right of withdrawal available to consumers does not apply to contracts entered into under these Terms of Service.

3. Orders and minimum order value (MOQ)

An Order is placed from the shopping cart after signing in to the Account. Once submitted, an Order receives the status “Received” and is verified by the Seller; fulfilment begins after the Order is approved.

Orders have the following statuses: received, approved, packed, shipped, delivered; an Order may also be rejected by the Seller or cancelled.

MOQ: each Account has a minimum net Order value (standard: PLN 300.00; it may be changed individually in the agreement with the Customer). Orders with a net value below the MOQ cannot be placed — the cart disables the place-order button until the value is reached.

Internal stock transfers of Kasprák points are not subject to the MOQ, are not charged for Delivery and do not generate invoices.

4. Prices (net) and payment

Prices in the catalogue and in the cart are NET prices (excluding VAT). VAT at the rate applicable to each product is added to every Order line.

The total gross amount of an Order = sum of net line values + VAT + Delivery cost (gross) — the Customer sees this amount in the cart before placing the Order.

A VAT invoice is issued for fulfilled Orders; a pro forma invoice before payment is available on request.

Payment terms are set individually for each Customer: payment in advance before shipment (default) or payment on a deferred term after Delivery (for customers with an approved credit limit).

Payment is made by bank transfer to the Seller's account.

5. Delivery

Delivery is carried out by the DHL courier company (parcel shipment).

The Delivery cost is a flat rate configured by the Seller in the system (gross amount), charged when the Order is placed; a zero rate means free Delivery.

Internal stock transfers (Kasprák points) are not charged for Delivery.

6. Complaints

Complaints may be submitted by e-mail or by phone — the Seller's contact details are in the website footer and in the Privacy Policy.

A complaint should include the Order number, a description of the irregularity and the Customer's contact details.

The Seller reviews the complaint and informs the Customer of the outcome.

7. Liability

The Seller is liable for the conformity of the delivered goods with the Order.

8. Account and its deletion

The Customer manages the Account in the customer panel (“My account”), including updating company details and correspondence preferences.

The Account can be deleted in the customer panel (“Delete account”). Deletion is possible when the Account has no Order or invoice history; otherwise deletion is blocked due to statutory record-keeping obligations and the Customer should contact the Seller.

9. Personal data

We process Customers' personal data in accordance with the GDPR (Art. 6(1)(b) GDPR — necessary for the conclusion and performance of the contract) and Polish personal data protection laws.

10. Changes to these Terms of Service

Each version of these Terms of Service has a number and an effective date; the version number is recorded when an Order is placed as evidence of which content the Customer accepted.

Changes to these Terms of Service come into force on the date indicated in the new version; Orders placed before that date are fulfilled on the previous terms.

11. Governing law and disputes

The law applicable to contracts entered into under these Terms of Service is Polish law.

Disputes arising from contracts are resolved by the court competent for the Seller's registered office, unless mandatory provisions of law provide otherwise.

The Website contains content about alcoholic beverages; access requires confirmation that the visitor is of legal drinking age (age gate). We sell alcohol only to adults.
